Corporate & Immigration

No. A KITAS is not required to establish a PT PMA. Foreign shareholders and directors may incorporate the company without residing in Indonesia. A KITAS is required only if a foreign director or commissioner intends to reside in Indonesia and actively perform management or operational functions on a day-to-day basis.

A KITAS (Limited Stay Permit) allows a foreign individual to: Legally reside in Indonesia; Work or perform management functions in an Indonesian company; Act as a locally based director or executive; Fulfill immigration requirements linked to employment or long-term stay. A KITAS is not a company requirement, but a personal immigration permit for individuals.

No. The incorporation process can generally be completed remotely through a Power of Attorney. Physical presence is not required for company registration.

In practice, some Indonesian banks require a KITAS for at least one director as part of their internal compliance and due diligence procedures. Other banks may allow account opening without a KITAS, subject to document review. Bank requirements vary, and the approach will be adjusted based on the selected bank.

The incorporation of a PT PMA typically takes 7-14 working days (approximately 1-2 weeks), including: Deed of Establishment; Approval from the Ministry of Law and Human Rights; OSS registration and business licensing. Corporate bank account opening may take an additional 1-2 weeks, depending on bank policy.

A PT PMA must comply with the minimum investment and paid-up capital requirements under Indonesian investment regulations. Capital injection may be structured progressively in line with the approved investment plan.

Yes. The company may remain dormant initially, with no revenue, no employees, and no operations. However, ongoing compliance obligations (investment reporting and tax filings) will still be required.

A PT PMA must comply with: Periodic investment reporting (LKPM); Annual corporate and tax filings; Maintenance of licenses and corporate records.
